1. Introduction

Welcome to Treoir AI Ltd (“we,” “us,” “our,” or “Treoir AI”). These Terms and Conditions (“Terms”) govern your use of our AI-powered career coaching and mentoring service (“Service”) available through our website and platform. These Terms should be read alongside our Cookie Policy and Privacy Policy.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

Important: Our Service is currently available only to users located in the United Kingdom. We use technical measures including IP address detection to restrict access from other jurisdictions.

2. Eligibility and Account Creation

2.1 Age and Location Requirements

You must be at least 18 years old to use our Service and must be located in the United Kingdom.

Additionally, you must have a valid LinkedIn account for authentication purposes, as this is our exclusive method of user verification.

2.2 LinkedIn Authentication

Our Service uses LinkedIn as the exclusive authentication method. You must maintain an active LinkedIn account to continue using our Service.

We are not responsible for any issues with your LinkedIn account that prevent access to our Service. Any suspension or termination of your LinkedIn account will affect your ability to use our platform.

2.3 Account Responsibility

You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account credentials.

You agree to provide accurate and complete information during registration and to keep this information up to date.

You must notify us immediately of any unauthorised use of your account or any other breach of security that you become aware of.

3. Service Description

3.1 AI-Powered Career Coaching

Our Service provides AI-powered career coaching conversations and recommendations designed to support your professional development.

This includes personalised career development guidance tailored to your goals and experience, progress tracking and achievement verification to help you measure your growth, and educational resources and career planning tools to enhance your career journey.

3.2 AI Technology Disclosure

Our Service uses advanced AI language models for generating coaching recommendations. AI processing may occur outside the United Kingdom under appropriate data protection safeguards, specifically Standard Contractual Clauses approved by regulatory authorities.

The AI recommendations are generated based on available information and conversation history you provide. However, AI-generated content is not guaranteed to be accurate, complete, or suitable for your specific circumstances, and you should exercise your own judgment when considering any recommendations.

4. Service Limitations and Disclaimers

4.1 Professional Boundaries

Our Service is strictly limited to career coaching and mentoring. We do not provide professional therapy or counseling services, nor do we offer medical, legal, or financial advice.

We cannot guarantee career outcomes or job placements, and we are not licensed to provide psychological or psychiatric services. Users seeking these specialised services should consult appropriate qualified professionals.

4.2 AI Limitations

AI recommendations are based on patterns in data and may not account for unique circumstances that apply to your specific situation. AI systems can make errors or provide inappropriate suggestions despite our best efforts to train them properly.

Additionally, AI-generated content may reflect biases present in training data, which we work to minimise but cannot entirely eliminate. We cannot guarantee the accuracy, completeness, or suitability of AI recommendations for your particular needs.

4.3 Outcome Disclaimers

Results from our coaching service are not guaranteed and will vary significantly between users. Career success depends on many factors beyond our coaching recommendations, including but not limited to economic conditions, individual effort, market demand, and personal circumstances.

Individual outcomes will vary based on personal circumstances and the effort you invest in implementing recommendations. We are not responsible for employment decisions made by third parties, including hiring, promotion, or termination decisions.

4.4 Service Availability

Our Service may be temporarily unavailable due to maintenance or technical issues, and we will endeavor to provide advance notice when possible.

We do not guarantee uninterrupted access to the Service, though we strive to maintain high availability. Third-party integrations, particularly LinkedIn and AI services, may affect Service availability in ways beyond our control.

5. Subscription and Payment Terms

5.1 Subscription Plans

We offer a monthly subscription plan for access to our Service. Subscription fees are charged in advance at the beginning of each monthly billing period. All fees are displayed in British Pounds (GBP) and include applicable VAT at the current rate.

5.2 Payment Processing

Payments are processed securely through Stripe, our trusted payment partner. By subscribing, you authorise us to charge your selected payment method for subscription fees at the beginning of each billing period. Failed payments may result in service suspension after we have provided reasonable notice and attempted to resolve the payment issue with you.

5.3 Auto-Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will receive email notification 14 days before automatic renewal to remind you of the upcoming charge.

You may cancel your subscription at any time through your account settings, with cancellation taking effect at the end of your current billing period. No refunds are provided for partial billing periods except as required by law or under our cooling-off period provision.

5.4 14-Day Cooling-Off Period

New subscribers have 14 days from signup to cancel for a full refund under UK consumer protection regulations.

This cooling-off period applies to your first subscription only and cannot be used for subsequent renewals. To exercise your cooling-off rights, contact our support team who will process your refund promptly.

6. User Conduct and Responsibilities

6.1 Acceptable Use

You agree to use our Service only for lawful purposes and in accordance with these Terms. Specifically, you will not:

  • Violate any applicable laws or regulations
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Share false or misleading information about yourself or others
  • Attempt to reverse engineer, decompile, or compromise our systems
  • Use the Service to harass, abuse, or harm others

6.2 Content Standards

When using our coaching features, you agree to provide truthful information about your career and goals, as the quality of our recommendations depends on accurate input.

You must respect the privacy and confidentiality of other users if you participate in any community features. You should avoid sharing sensitive personal information unnecessarily, and you agree to report any concerning or inappropriate content to us immediately.

6.3 Intellectual Property Respect

You acknowledge that you will not copy, distribute, or commercially exploit our Service content without express written permission.

Our coaching methodologies and AI recommendations remain our intellectual property at all times. You may use coaching advice solely for personal career development and not for commercial purposes or redistribution.

7. Privacy and Data Protection

7.1 Data Processing

We process your personal data in accordance with our Privacy Policy, which forms an integral part of these Terms. By using our Service, you consent to data processing as described in our Privacy Policy. We implement appropriate technical and organisational measures to protect your data in line with UK GDPR requirements.

7.2 Coaching Conversation Confidentiality

Coaching conversations are stored securely for service delivery and improvement purposes. We do not share coaching conversations with third parties except when legally required by court order or regulatory authority.

You may request deletion of your coaching history at any time through your account settings or by contacting our support team.

7.3 Data Retention

We retain personal data as described in detail in our Privacy Policy. Active coaching data is retained during your subscription period to provide continuity of service.

You may request earlier deletion through your account settings, though this may affect our ability to provide certain features.

8. Intellectual Property

8.1 Our Intellectual Property

All content, features, and functionality of our Service are owned by Treoir AI Ltd and protected by copyright, trademark, and other intellectual property laws. This includes but is not limited to our software code and algorithms, coaching methodologies and frameworks, AI training data and models, and user interface design and branding.

8.2 User Content

You retain ownership of all content you provide to us through the Service. However, you grant us a worldwide, non-exclusive, royalty-free license to use your content for service delivery and improvement purposes.

We may use aggregated, anonymised data derived from user content for research and development purposes.

8.3 Third-Party Content

LinkedIn profile information remains subject to LinkedIn’s terms and policies at all times. AI services we utilise are subject to our AI provider’s applicable terms and conditions.

We respect all third-party intellectual property rights and expect our users to do the same.

9. Liability and Risk Allocation

9.1 Limitation of Liability

To the maximum extent permitted by UK law, our total liability to you for all claims arising from or related to these Terms or the Service is limited to the amount paid for your subscription in the 12 months prior to the claim.

We are not liable for indirect, consequential, special, incidental, or punitive damages, even if we have been advised of the possibility of such damages. We are not liable for career decisions or outcomes based on our coaching, as these remain your sole responsibility.

9.2 Professional Services

Our AI coaching service provides guidance based on established coaching methodologies and career development principles. However, coaching recommendations are opinions and suggestions, not guaranteed solutions to career challenges.

You remain fully responsible for your own career decisions and their consequences. The Service is not a substitute for professional career counseling or recruitment services.

9.3 Force Majeure

We are not liable for delays or failures in service delivery due to circumstances beyond our reasonable control.

This includes but is not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or technical failures of third-party services including LinkedIn or our AI providers.

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

10.2 Jurisdiction

Any disputes arising from these Terms or your use of our Service will be subject to the exclusive jurisdiction of the courts of England and Wales.

You agree to submit to the personal jurisdiction of these courts for the purpose of litigating any such disputes.

10.3 Complaint Resolution

We encourage you to contact us directly to resolve any concerns before pursuing formal legal action. We will investigate complaints promptly and work toward fair resolution in good faith.

For data protection concerns, you may also contact the Information Commissioner’s Office if you are not satisfied with our response.

11. Changes to Terms

11.1 Term Updates

We may update these Terms from time to time to reflect changes in our Service or legal requirements. Significant changes will be communicated by email and platform notification at least 30 days before they take effect.

Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you disagree with updated Terms, you may terminate your account before the changes take effect.

11.2 Service Changes

We may modify or discontinue features of our Service as we continue to develop and improve our offering. We will provide reasonable notice of significant service changes that materially affect your use of the Service.

No refunds are required for feature modifications unless the core service is substantially impaired and becomes materially different from what you originally subscribed to.

12. Termination

12.1 Termination by You

You may terminate your account at any time through your account settings. Termination stops future billing but does not entitle you to refunds for unused portions of your current billing period.

Your data will be deleted according to our retention policy as outlined in our Privacy Policy.

12.2 Termination by Us

We may terminate or suspend your account if you violate these Terms or our policies, provide false information or impersonate others, engage in harmful or disruptive behavior that affects other users or our Service, or fail to pay subscription fees after reasonable notice and opportunity to cure.

12.3 Effect of Termination

Access to the Service ends immediately upon termination. Data deletion occurs according to the schedule outlined in our Privacy Policy.

Certain provisions of these Terms survive termination, including liability limitations, intellectual property rights, and dispute resolution provisions.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Treoir AI Ltd regarding the Service.

They supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and us.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

The unenforceable provision will be replaced with an enforceable provision that most closely matches the intent of the original.

14.3 Assignment

We may assign these Terms or our rights and obligations hereunder to any successor or acquirer of our business.

You may not assign your rights under these Terms without our prior written consent, which we may withhold at our discretion.

14.4 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
